4 Intellectual Property
All content on this website — including text, graphics, logos, icons, images, audio, and software — is the property of WaterMelon Team and is protected by applicable intellectual property laws.
Client Work: Upon full payment, intellectual property rights for custom deliverables created specifically for a client will transfer to the client as outlined in the project agreement. We retain the right to use non-proprietary tools, frameworks, and general methodologies developed independently.
Portfolio Use: Unless explicitly agreed otherwise, we reserve the right to reference completed projects in our portfolio, case studies, and marketing materials, without disclosing confidential information.
5 Client Responsibilities
To ensure successful project delivery, clients agree to:
- Provide accurate, complete, and timely information required for the project

- Review and provide feedback on deliverables within agreed timelines
- Ensure they have the right to use any materials, content, or data provided to us

6 Payment Terms
Payment terms will be defined in the individual project agreement or invoice. General terms include:
- A deposit (typically 30–50%) may be required before project commencement
- Invoices are payable within 14 days of issuance unless otherwise agreed
- Late payments may incur interest at a rate of 1.5% per month

All prices are quoted exclusive of applicable taxes unless stated otherwise.
7 Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This includes business data, technical specifications, trade secrets, and financial information.
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no breach of this agreement
- Was already known to the receiving party before disclosure
- Is independently developed without reference to the confidential information
- Is required to be disclosed by law or court order
Where required, a separate Non-Disclosure Agreement (NDA) can be executed upon request.
8 Disclaimer of Warranties
Our website and the information on it are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Our total liability for any claim arising under or in connection with a project shall not exceed the total fees paid by the client for the specific deliverable giving rise to the claim.
Nothing in these terms limits liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation.
10 Termination
Either party may terminate a project engagement with written notice, subject to the terms of the project agreement. Upon termination:
- The client shall pay for all work completed up to the termination date
- We will deliver any completed work product that has been paid for
- Both parties will return or destroy confidential materials as requested
- Provisions relating to intellectual property, confidentiality, and liability shall survive termination
We reserve the right to terminate access to our website immediately and without notice for violations of these Terms of Service.
